These Terms of Service (“Terms”) govern your access to and use of the Retailgrid platform and related services (the “Service”), provided by Retailgrid Oy (“Retailgrid,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Overview
Retailgrid provides a cloud-based data workspace and AI-enabled tools for retailers to organise, enrich, analyse and optimise product, pricing and retail operations data. These Terms apply to all visitors, users and customers of the Service.
The Service is offered under a tiered subscription model that combines (a) a platform subscription (Freemium, Starter, Growth or Enterprise) and (b) optional usage-based components for competitor price monitoring and product matching. Commercial details of each plan are set out on our Plans & Pricing page and, where applicable, in an Order Form signed between you and Retailgrid.
2. Definitions
“Customer Data” means any data, content or information you or your users upload, import or otherwise make available to the Service.
“AI Credits” means the consumable units that meter your use of AI-powered enrichments, workflows and actions, as allocated to your subscription plan.
“Grid Rows” means the maximum number of active rows (SKUs or data records) that may be stored and processed in your Grid under your plan at any given time.
“Price Monitoring Services” means the collection, monitoring and delivery of publicly available competitor pricing and product data, together with product-matching services, provided through Retailgrid by third-party data providers as further described in Section 9.
“Order Form” means any written or electronic order, proposal, quote or statement of work referencing these Terms and executed between you and Retailgrid.
3. Eligibility
To use the Service you must:
- Be at least 18 years old;
- Have the legal capacity to enter into binding agreements; and
- Use the Service in compliance with these Terms and all applicable laws.
If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” include that entity.
4. Account Registration & Security
You must create an account to access the Service. You agree to:
- Provide accurate, current and complete registration information;
- Keep your login credentials confidential and not share them with third parties;
- Be responsible for all activity that occurs under your account; and
- Notify us promptly of any unauthorised use or security incident.
We may suspend or terminate your account if we reasonably believe it is being used in breach of these Terms or in a manner that poses a security or legal risk.
5. Subscription Plans & Usage Layers
Retailgrid prices the Service in two layers: (a) a platform subscription billed as a recurring fixed fee, and (b) optional usage-based components (primarily Price Monitoring Services). There are no per-seat fees; all users within your organisation may access the platform, subject to the applicable plan limits.
5.1 Platform subscription
The Service is offered across the following plan tiers: Freemium (€0 / month — evaluation and very small catalogues), Starter (€349 / month — small catalogues and lean retail teams), Growth (€1,999 / month — growing retailers operating across markets), and Enterprise (custom — custom limits, advanced security, enterprise integrations). Specific Grid Row limits, AI Credit allocations, integration scope, support level, data retention and security features applicable to each tier are set out on our Plans & Pricing page and may be updated from time to time.
Plan limits (including Grid Rows, AI Credits, data retention periods and included integrations) are enforced technically within the Service. If you exceed your plan limits, we may, at our option, throttle usage, require an upgrade, or charge overage fees agreed in your Order Form.
5.2 Usage-based components
In addition to the platform subscription, you may purchase the following usage-based components:
- Price Monitoring Services — billed per monitored competitor domain, with a one-time setup fee and a recurring monthly fee per domain. Fees scale with the size and complexity of the scraped domain (not with your own catalogue size). One monitored domain equals one country and one currency; multi-country coverage of the same brand constitutes multiple domains.
- Product Matching — billed as a one-time fee per successful match between your SKU and a competitor product, on a tiered per-match price that decreases with volume. Failed match attempts are not charged. Matches supplied by you (e.g., at EAN level) may be uploaded without matching fees.
- AI Credit top-ups — additional AI Credits beyond the plan allocation may be purchased at the rates then in effect.
The detailed unit prices, tiers and inclusions for usage-based components are specified in your Order Form or the then-current Plans & Pricing page.
5.3 Onboarding & strategy
For Growth and Enterprise engagements, onboarding and strategy work (data onboarding, category-role classification, rule configuration, scraping setup and matching validation, and a live pilot with reviews at day 45 and day 90) is bundled into the first 90 days of the subscription. For the Starter plan, onboarding is self-service with asynchronous founder support. Bespoke professional services beyond the bundled scope require a separate Order Form.
6. Billing, Payment & Taxes
6.1 Fees and invoicing. By subscribing to a paid plan, you authorise Retailgrid to charge you the applicable fees on a recurring basis until the subscription is cancelled or terminated in accordance with these Terms. Platform subscription fees are billed monthly or annually in advance. Usage-based fees (including Price Monitoring Services and Product Matching) are billed as specified in your Order Form — typically monthly in arrears for recurring usage and upon order confirmation for one-time setup and matching fees.
6.2 Price changes.We may update fees for new subscription terms with at least 30 days' prior notice. Changes will not affect the current paid term of an existing subscription unless otherwise expressly agreed.
6.3 Late payment. Overdue invoices may accrue interest at the statutory rate under Finnish law and, after notice, may lead to suspension or termination of the Service. You remain responsible for paying all accrued fees through the date of termination.
6.4 Taxes.All fees are exclusive of applicable taxes, duties and VAT, which you are responsible for paying, except for taxes on Retailgrid's net income.
6.5 Refunds. Except where required by mandatory law, all payments are non-refundable. Cancelling a subscription does not entitle you to a refund of fees already paid for the current billing period.
7. Use of the Service
You agree not to:
- Misuse the Service or interfere with its normal operation, security or integrity;
- Attempt to gain unauthorised access to the Service or any related systems, networks or data;
- Use the Service to process unlawful, infringing, defamatory or harmful content;
- Reverse-engineer, decompile, scrape or extract data from the Service except to the extent expressly permitted by law or by these Terms;
- Resell, sublicense or otherwise make the Service available to third parties except as expressly allowed in writing by Retailgrid; or
- Use the Service to build a competing product or benchmark against Retailgrid for the purpose of publishing such benchmarks.
We reserve the right to impose reasonable technical limits and to take action (including suspension) to maintain the performance, security and lawful operation of the Service.
8. Data & Privacy
8.1 Customer Data. As between you and Retailgrid, you retain all rights in and to Customer Data. You grant Retailgrid a limited, worldwide, non-exclusive, royalty-free licence to host, process, store, transmit and analyse Customer Data solely as necessary to provide, secure, improve and support the Service.
8.2 Aggregated and anonymised data. We may generate aggregated and de-identified data derived from use of the Service (e.g. usage statistics, benchmarks and model inputs). Such data does not identify you or any individual and may be used by Retailgrid for any lawful business purpose, including improving the Service.
8.3 Data retention.Customer Data is retained for the period associated with your plan (as set out on the Plans & Pricing page). Following expiration of the retention period or termination of your subscription, Customer Data may be deleted or anonymised in accordance with our data retention policy.
8.4 Security. Retailgrid implements administrative, technical and organisational measures designed to protect Customer Data that are appropriate to the nature of the Service. No system is fully secure, and we do not warrant that unauthorised access will not occur.
8.5 Privacy Policy. Your use of the Service is also subject to our Privacy Policy, which describes how personal data is collected, used and shared.
9. Price Monitoring & Third-Party Data Providers
Retailgrid's Price Monitoring Services (including web scraping, price collection, anti-bot handling, site-change monitoring and product matching) may be provided, in whole or in part, by third-party data providers engaged by Retailgrid. You acknowledge and agree that:
- Retailgrid may rely on one or more third-party providers to deliver Price Monitoring Services, and the composition of such providers may change from time to time without prior notice, provided that the contracted scope and service levels are maintained;
- Price Monitoring Services are based on publicly available information collected from competitor websites and similar public sources; accuracy and completeness may vary and are subject to changes in source sites, anti-bot measures and technical incidents;
- Retailgrid targets an indicative matching accuracy of 99% on direct product matches, but does not guarantee any specific level of accuracy, latency or completeness beyond what is expressly stated in an Order Form;
- Incident handling, scraper maintenance and re-matching following source-site changes are performed on a commercially reasonable basis, and Retailgrid will not charge for re-matching resulting from a scraper failure attributable to Retailgrid or its providers;
- You are solely responsible for reviewing data outputs, making pricing and commercial decisions, and ensuring that your use of the data (including any downstream use outside the Service) complies with applicable laws, including competition, consumer protection, intellectual property and personal data laws.
Retailgrid remains your single point of contract and support for Price Monitoring Services, regardless of the underlying provider.
10. AI Features
The Service includes AI-powered features (including enrichments, predictions, recommendations, workflows and optimisation). By using such features you acknowledge that:
- AI outputs are probabilistic and may be inaccurate, incomplete, biased or otherwise inappropriate for a given use case;
- You are solely responsible for reviewing, validating and deciding whether to rely on AI-generated content or recommendations;
- Retailgrid is not liable for business decisions made on the basis of AI outputs; and
- Use of AI features is metered against your AI Credit allocation under your plan; consumed credits are not refundable.
11. Integrations & Third-Party Services
The Service may include or interoperate with third-party platforms, services and APIs (for example, e-commerce platforms, analytics providers, marketplaces and the third-party data providers referenced in Section 9). Retailgrid is not responsible for the availability, functionality, accuracy or performance of third-party services, or for any usage limits or fees imposed by them. Your use of third-party services is governed by those third parties' own terms.
12. Intellectual Property
Retailgrid and its licensors retain all right, title and interest in and to the Service, including all software, trademarks, logos, documentation and content (excluding Customer Data). Subject to your compliance with these Terms and payment of applicable fees, Retailgrid grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your subscription term solely for your internal business purposes.
You may not:
- Copy, modify or create derivative works of the Service, except as expressly permitted;
- Distribute, sell, lease or sublicense the Service; or
- Use Retailgrid's branding, trademarks or case studies without prior written permission.
You may provide feedback, suggestions and recommendations about the Service (“Feedback”). You grant Retailgrid a perpetual, irrevocable, royalty-free licence to use Feedback for any purpose without obligation to you.
13. Term, Suspension & Termination
13.1 Term. These Terms apply for as long as you use the Service. Paid subscriptions continue for the term stated in your plan or Order Form and automatically renew for successive equivalent terms unless either party gives notice of non-renewal before the end of the then-current term.
13.2 Suspension. We may suspend your access to all or part of the Service with or without notice if (a) you materially breach these Terms; (b) fees are overdue; (c) your use creates a security, legal or operational risk; or (d) required by law.
13.3 Termination. Either party may terminate a paid subscription:
- For cause, on written notice, if the other party materially breaches these Terms and fails to cure the breach within 30 days of written notice; or
- For convenience, at the end of the then-current term, by giving notice of non-renewal.
You may cancel your subscription at any time via the Service or by contacting us; cancellation takes effect at the end of the then-current billing period, and no refunds are provided except where required by law.
13.4 Effect of termination.Upon termination, your right to access the Service ends. You may export Customer Data during any export window specified on the Plans & Pricing page or in your Order Form; thereafter, Customer Data may be deleted. Sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification and Governing Law) will survive.
14. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, RETAILGRID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. RETAILGRID DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR THAT AI OUTPUTS, PRICE MONITORING DATA OR ANY RECOMMENDATIONS WILL PRODUCE PARTICULAR RESULTS.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO RETAILGRID UNDER THESE TERMS IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot be limited under mandatory applicable law, including liability for gross negligence, wilful misconduct, or death or personal injury.
16. Indemnification
You agree to defend, indemnify and hold harmless Retailgrid and its affiliates, officers, employees and agents from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) Customer Data; or (d) your violation of any applicable law or third-party right.
17. Modifications to the Terms
We may modify these Terms from time to time. If changes are material, we will provide reasonable prior notice (for example, by email or in-app notice). Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not agree to an update, your sole remedy is to stop using the Service and, for paid plans, to terminate your subscription as permitted in Section 13.
18. Governing Law & Jurisdiction
These Terms are governed by the laws of Finland, excluding its conflict-of-laws rules. Subject to mandatory rules that may apply to consumers in their country of residence, the courts of Helsinki, Finland will have exclusive jurisdiction to resolve any disputes arising out of or in connection with these Terms or the Service.
19. Miscellaneous
These Terms (together with any applicable Order Form and the Privacy Policy) constitute the entire agreement between you and Retailgrid regarding the Service and supersede any prior agreements on the same subject matter. If any provision is held unenforceable, the remaining provisions will remain in full force. Failure to enforce any right is not a waiver. You may not assign these Terms without Retailgrid's prior written consent; Retailgrid may assign these Terms to an affiliate or in connection with a merger, reorganisation or sale of assets.
